Master Services Agreement

A Master Services Agreement is the written contract that can sit above individual statements of work. It covers how AIONIQ and a client work together across one or more projects.

Services AIONIQ may provide include brand, design, websites, applications, marketing, AI workflows and related studio work. The services for a given client are only those listed in the signed documents.

An MSA may be paired with statements of work, schedules or change notes. Those documents control the specific deliverables.

AIONIQ is responsible for the work it agrees to produce. Clients are responsible for timely inputs, feedback, approvals, and materials they supply. See Project Delivery.

Fees, deposits, invoicing and payment timing are commercial terms. They appear in the MSA or statement of work, not on this page.

Ownership and licence of deliverables, tools and pre-existing materials are defined in the agreement.

Confidentiality may be covered in the MSA, a separate NDA, or both. See Non-Disclosure Agreement.

Review rounds, approval gates and what counts as sign-off are set per project. This page does not invent a revision count.

How files, sites or systems are handed over is described in Project Delivery and in the statement of work.

Work outside the agreed scope is a change. Changes are documented and may affect timeline and fees.

How either party may end an engagement, and what is owed at that point, is set in the MSA. Public summary: Refund & Cancellation.

Limitation of liability, warranties and indemnities — if any — are in the signed MSA. This website’s Terms & Conditions do not rewrite them.

How disagreements are handled is a term of the signed agreement. We do not publish a venue or governing-law clause on this page.
