Non-Disclosure Agreement

Confidential information is non-public information shared for a business purpose — for example unpublished brand work, product plans, commercial terms, or access credentials. The signed NDA defines the exact category.

Confidential information is used only to evaluate or perform the work it was shared for, unless the NDA says otherwise.

Each party is expected to protect the other’s confidential information with at least the care it uses for its own, and to limit access to people who need it for the engagement.

Typical exceptions — public information, independently developed information, or information received from another source without a duty of confidence — are listed in the signed NDA, not invented here.

If the law requires disclosure, the NDA usually describes notice and limitation. Follow the signed document.

Whether materials must be returned or deleted at the end of discussions is a term of the NDA.

How long confidentiality lasts is set in the signed NDA. This page does not state a default term.
